These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you") and JSYS Technologies ("Company," "we," "us"), governing your access to and use of the Memiaura AI companion service ("Service"). By accessing or using Memiaura, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

1. Service Description

Memiaura is an AI-powered conversational companion delivered through the Memiaura mobile app for iOS and Android. WhatsApp is used only for one-time passcode verification and outbound notifications, not as the chat surface. The Service provides features including but not limited to: Adaptive Memory, the Aura mood experience, the encrypted Vault, Legacy messages and Trustees, Reminders, Celebrations, Breathe wellbeing exercises, in-app Insights, Family relationships, and opt-in Nudges & check-ins. Memiaura is designed for personal use, emotional support, and self-improvement. Memiaura is not a medical, psychological, legal, or financial service.

2. Eligibility

Memiaura is a service for adults. You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to create an account or use the Service. We collect your date of birth at signup and enforce this requirement through server-side checks in every region; accounts that do not meet it cannot access companion chat and may be terminated. Memiaura is not offered to minors and does not collect parental or guardian consent — if you are under 18, please do not use the Service. By using Memiaura, you represent and warrant that you meet these requirements.

3. User Accounts & Responsibilities

By using Memiaura, you agree to:

• Provide accurate information during onboarding.
• Keep your PIN and account access credentials secure. You are solely responsible for all activity under your account.
• Not use the Service for any unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable purpose.
• Not attempt to reverse-engineer, decompile, disassemble, or hack any part of the Service.
• Not use automated scripts, bots, or tools to interact with Memiaura in ways that could disrupt or overload the Service.
• Not attempt to extract, scrape, or harvest data from the Service for commercial purposes.
• Not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Not use the Service to distribute spam, malware, or any harmful content.

4. Intellectual Property

All content, features, functionality, software, design, text, graphics, logos, trademarks, and other intellectual property associated with Memiaura are the exclusive property of JSYS Technologies and are protected by international copyright, trademark, patent, and other intellectual property laws.

• You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service without prior written consent from JSYS Technologies.
• The "Memiaura" name, logo, and all related product names, designs, and slogans are trademarks of JSYS Technologies.
• Your use of the Service does not grant you any ownership rights to any intellectual property.

5. AI-Generated Content Disclaimer

• Memiaura is not a substitute for professional medical advice, diagnosis, therapy, or treatment. Always seek the advice of a qualified healthcare provider.
• Memiaura is not a substitute for professional mental health services. If you are experiencing a mental health crisis, please contact emergency services or a crisis helpline immediately.
• Memiaura is not a substitute for legal, financial, or professional advice of any kind.
• Guided Wellness features (CBT/DBT exercises) are for general self-improvement only and do not constitute clinical therapy.
• You acknowledge that you use AI-generated content at your own risk and discretion.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• JSYS Technologies, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
• JSYS Technologies shall not be liable for any damages arising from: (a) your use of or inability to use the Service; (b) any content generated by the AI; (c) unauthorized access to or alteration of your data; (d) statements or conduct of any third party on the Service; (e) any errors, omissions, or inaccuracies in the Service.
• In no event shall JSYS Technologies' total aggregate liability exceed the amount you have paid to JSYS Technologies for the Service in the twelve (12) months preceding the claim, or USD $50, whichever is greater.
• This limitation of liability applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if JSYS Technologies has been advised of the possibility of such damages.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. JSYS Technologies specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. JSYS Technologies does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service will be accurate or reliable.
• Any errors in the Service will be corrected.
• The Service will meet your specific requirements or expectations.

8. Indemnification

You agree to indemnify, defend, and hold harmless JSYS Technologies, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of and access to the Service.
• Your violation of any provision of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content you submit, post, or transmit through the Service.
• Any claim that your use of the Service caused damage to a third party.

9. Data & Privacy

Your use of Memiaura is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

10. Service Availability & Modifications

• JSYS Technologies reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason.
• JSYS Technologies shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
• We reserve the right to update features, pricing, and functionality without prior notice.
• Scheduled maintenance may result in temporary unavailability. We will endeavor to provide advance notice when possible.

11. Account Termination

• JSYS Technologies reserves the right to suspend or terminate your access to the Service at any time, for any reason, including but not limited to violation of these Terms, without prior notice or liability.
• Upon termination, your right to use the Service ceases immediately.
• JSYS Technologies may delete your data in accordance with the Privacy Policy upon account termination.
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law.

12. Third-Party Platforms

Memiaura is distributed through the Apple App Store and Google Play, and relies on third-party services such as WhatsApp (Meta) and Twilio for verification and notifications. These platforms have their own terms and policies. JSYS Technologies is not responsible for:

• Any actions, policies, or decisions made by Apple, Google, WhatsApp (Meta), Twilio, or any other third-party platform.
• Service disruptions caused by third-party platforms.
• Changes to third-party APIs that may affect Service functionality.
• Data handling by third-party platforms outside of Memiaura's control.

13. Payment & Subscription Terms

Memiaura may offer free and paid tiers. If you subscribe to a paid plan:

• Fees are billed in advance on a recurring basis (monthly or annually).
• All fees are non-refundable unless required by applicable law.
• JSYS Technologies reserves the right to change pricing with 30 days' advance notice.
• Failure to pay may result in suspension or termination of paid features.

14. Force Majeure

JSYS Technologies shall not be held liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, internet or telecommunications failures, power outages, third-party service disruptions, cyberattacks, or any other event beyond our reasonable control.

15. Dispute Resolution & Arbitration

• Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting JSYS Technologies.
• If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to binding arbitration administered under the rules of a mutually agreed arbitration body.
• You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against JSYS Technologies.
• Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

16. Governing Law

Memiaura is offered to users around the world. These Terms are governed by and construed in accordance with the laws of the country in which JSYS Technologies is established, without regard to its conflict-of-law provisions — except where the mandatory consumer-protection laws of your country of residence afford you greater protection, in which case those laws apply to that extent. Nothing in these Terms limits any non-waivable statutory rights available to you under the laws of your jurisdiction. Any dispute not resolved through the process in Section 15 (Dispute Resolution & Arbitration) shall be brought before a court of competent jurisdiction, and where applicable law so requires, you may also bring proceedings in the courts of your country of residence.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and JSYS Technologies regarding your use of the Service, and supersede all prior agreements, representations, and understandings.

19. Amendments

JSYS Technologies reserves the right to update or modify these Terms at any time. Changes will be effective upon posting the revised Terms with an updated "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. We will make reasonable efforts to notify you of material changes through the Service.
